Shawnova Terms of Use

These Terms of Use ("Terms") govern your access to and use of shawnova.com and any related services (collectively, the "Site"), operated by Shawnova ("Shawnova," "we," "us," "our"). By accessing or using the Site, placing an order, or creating a Shawnova Circle account, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Eligibility

You must be at least 18 years old, or the age of majority in your state, to make a purchase or create an account. By using the Site, you represent that you meet this requirement.

2. Products and Fulfillment

When you place an order:

  • Your order is transmitted to one or more third-party suppliers who manufacture, warehouse, and ship the product directly to you.
  • Shipping times may vary by product and supplier, and may take longer than orders shipped from domestic warehouses. Estimated delivery windows are provided in good faith but are not guaranteed.
  • Product images, descriptions, and specifications are provided by our suppliers and, while we make reasonable efforts to verify accuracy, we cannot guarantee that all details are error-free at all times.
  • Because multiple suppliers may be involved, items in the same order may arrive in separate shipments at different times.

By purchasing from us, you acknowledge and accept these fulfillment realities.

3. Accounts and the Shawnova Circle

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • The Shawnova Circle rewards program allows members to earn points on qualifying purchases, redeemable per the terms posted on the Site at the time of redemption. Points have no cash value, are non-transferable, and expire six (6) months from the date earned unless otherwise stated. We reserve the right to modify, suspend, or terminate the Shawnova Circle program, or any member's participation in it, at our discretion, including for suspected abuse or fraud.
  • We reserve the right to suspend or terminate any account that violates these Terms.

4. Pricing and Payment

  • All prices are listed in US dollars unless otherwise stated and are subject to change without notice.
  • We reserve the right to refuse or cancel any order, including in cases of pricing errors, suspected fraud, or supplier unavailability. If your payment method has already been charged for a cancelled order, we will issue a full refund.
  • Sales tax is calculated and applied based on your shipping address in accordance with applicable state law.
  • Payments are processed by a third-party payment processor; by submitting payment information, you agree to that processor's terms as well.

5. Shipping, Delays, and Risk of Loss

  • Risk of loss and title for products pass to you upon our supplier's delivery of the item to the shipping carrier.
  • We are not liable for delays caused by the carrier, customs, weather, or other events outside our reasonable control.

6. Prohibited Conduct

You agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to the Site, other accounts, or our systems
  • Use automated means (bots, scrapers) to access the Site without our written permission
  • Interfere with the Site's operation or place fraudulent orders
  • Misuse the Shawnova Circle program, including through fake accounts or manipulated point-earning

Violation of this section may result in order cancellation, account termination, and/or referral to law enforcement where applicable.

7. Intellectual Property

All content on the Site — including our name, logo, tagline ("Your Shopping Experience. Simplified."), graphics, text, and design — is owned by or licensed to us and is protected by US and international intellectual property law. You may not copy, reproduce, distribute, or create derivative works from this content without our prior written consent. Product images and descriptions supplied by third-party suppliers remain the property of their respective owners.

8. Reviews and User Content

If you submit reviews, comments, or other content to the Site, you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, and display that content in connection with our business. You represent that any content you submit is your own, is accurate, and does not violate any third party's rights.

9. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT WHERE SUCH DISCLAIMERS ARE PROHIBITED BY LAW. SOME STATES DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAWNOVA AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR PRODUCTS PURCHASED THROUGH IT. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR PURCHASE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.

SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU IN FULL.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Site.

12. Dispute Resolution and Arbitration

Please read this section carefully — it affects your legal rights.

a) Informal Resolution First: Before filing any claim, you agree to contact us at support@shawnova.com and attempt to resolve the dispute informally for at least 30 days.

b) Binding Arbitration: If informal resolution fails, any dispute arising out of or relating to these Terms or your use of the Site shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies.

c) Class Action Waiver: You and we agree that any arbitration will be conducted on an individual basis only, and not as a class, consolidated, or representative action, to the fullest extent permitted by law.

d) Opt-Out: You may opt out of this arbitration agreement by sending written notice to support@shawnova.com within 30 days of first accepting these Terms.

13. Governing Law

These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law principles, except to the extent a customer's home-state consumer protection laws mandatorily apply and cannot be waived.

14. Changes to These Terms

We may update these Terms at any time. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms. We will update the "Effective Date" above when changes are made.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
